Terms of Sale & Use
These Terms are a contract between you and KEESHEE LLC ("Keeshee," "we," "us"). They cover your use of kee-shee.com (the "Site") and every purchase you make through it. By using the Site or placing an order you agree to them. If you don't agree, don't use the Site or buy from us.
1. Who can buy
You must be at least 18 years old and able to form a binding contract to place an order. The Site is not directed at children under 13 and we do not knowingly collect information from them. If you're under 18, have a parent or guardian order for you.
2. Products, descriptions, and pricing
We make an honest effort to describe products, colors, materials, measurements, and fit accurately. Even so, colors render differently on different screens, garment measurements vary within normal cut-and-sew tolerances (about ±0.5 in / 1.5 cm), and mock-ups shown before photography exists are illustrations, not exact representations. None of this makes an item defective.
Prices are in US dollars and exclude tax and shipping, which are shown at checkout before you pay. We may change prices at any time before an order is placed. If a product is listed at an obviously incorrect price because of a typo or system error, we may cancel any order placed at that price and refund you in full, even after you receive an order confirmation.
Quantities are limited. We may limit the number of units per order or per customer and may cancel orders that appear to be placed by resellers or bots.
3. Orders and acceptance
Your order is an offer to buy. The confirmation email is a receipt of your offer, not acceptance. We accept an order when we ship it (or, for pre-orders, when we email you that it has shipped). Until then we may refuse or cancel any order for any reason, including product unavailability, pricing errors, suspected fraud, or a shipping address we can't serve. If we cancel, we refund the full amount to the original payment method.
Checkout and payment processing are provided by Shopify and its payment partners. Your payment information is handled by them under their terms and privacy policies; we never see your full card number.
4. Pre-orders and shipping dates
Some drops are sold before units arrive from the factory. When that's the case, the product page shows an estimated ship window. That date is our good-faith estimate, not a guarantee. If we learn we cannot ship within the stated window (or within 30 days of your order if no window is stated), we will email you with a revised date and give you the choice to keep the order or cancel it for a full refund. If you don't respond and the delay would exceed 30 days beyond the original estimate, we'll cancel and refund you automatically. This is how we comply with the FTC Mail, Internet, or Telephone Order Merchandise Rule.
You may cancel a pre-order for a full refund any time before it ships by emailing hello@kee-shee.com with your order number.
5. All sales final
All sales are final. Because we produce in small limited runs, we do not accept returns or exchanges for reasons such as fit, size, change of mind, or color preference. Please use the size chart before you order. The only exception is an item that arrives damaged or defective, which is covered by our Returns policy. Nothing in these Terms limits rights you have under law that cannot be waived.
6. Shipping, risk of loss, and delivery problems
We ship only to addresses in the United States (including PO boxes where the carrier allows). You are responsible for entering a complete, correct shipping address; we are not responsible for orders sent to an address you entered incorrectly, and any reshipment is at your cost.
Title and risk of loss pass to you when we hand the package to the carrier. Once the carrier's tracking shows the package delivered, we consider it delivered. We are not responsible for packages lost or stolen after delivery, but if this happens to you, contact us — we'll help you file a carrier claim and will do what we reasonably can. 7. Intellectual property
The name KEESHEE, the Keeshee wordmark, the cross mark, all garment designs, graphics, artwork, photography, video, text, and the look and feel of the Site are owned by KEESHEE LLC or our licensors and protected by US and international copyright, trademark, and other laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of it without our written permission. Buying a garment gives you the garment, not any rights in the designs on it. See our Trademark & Copyright notice.
8. Your content
If you tag us, send us photos, or otherwise share content featuring our products (for example on Instagram or TikTok using our handle or hashtags), you grant KEESHEE LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display that content in connection with promoting Keeshee, including on the Site and our social channels, and you confirm you have the right to grant that license. If you'd rather we didn't use something, email us and we'll take it down.
9. Acceptable use
You agree not to use the Site in any way that is unlawful, that interferes with its operation, that uses bots, scrapers, or automated tools to access it or to place orders, that attempts to bypass purchase limits, or that infringes anyone's rights. We may block or cancel orders from anyone who does.
10. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR OUR RETURNS POLICY, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KEESHEE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. Some states do not allow limits on implied warranties, so some of the above may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KEESHEE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR ANY PRODUCT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER. Some states do not allow these limits, so some may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless KEESHEE LLC and its members, managers, and agents from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.
13. Dispute resolution — binding arbitration and class action waiver
Please read this section carefully. It affects your legal rights.
Informal resolution first. Before starting any formal proceeding, you agree to email legal@kee-shee.com with a description of the dispute and what you want, and to give us 30 days to work it out with you. Most problems get solved here.
Arbitration. If we can't resolve it informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any purchase (including whether this clause applies) will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitration will take place in Larimer County, Colorado, or by video or phone if you prefer, and the arbitrator can award the same individual relief a court could. We will pay all AAA filing and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.
Small claims exception. Either of us may instead bring an individual claim in small claims court if it qualifies.
Class action waiver. You and Keeshee agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) proceeds in court, not arbitration.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@kee-shee.com within 30 days of your first purchase with your name, order number, and a clear statement that you want to opt out. Opting out doesn't affect any other part of these Terms.
14. Governing law and venue
These Terms and any dispute are governed by the laws of the State of Colorado and applicable US federal law, without regard to conflict-of-law rules. For anything not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Larimer County, Colorado.
15. Changes to these Terms
We may update these Terms from time to time. The version posted when you place an order governs that order. Continued use of the Site after a change means you accept the change. The date at the top tells you when it was last revised.
16. Miscellaneous
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor of the business. These Terms, together with our Returns, Shipping, and Privacy policies, are the entire agreement between you and Keeshee about the Site and your purchases.
